Terms of Service
Freeday B.V. (“Freeday”) provides AI-powered digital employees that are deployed within the environment of customer organisations. These digital employees support (internal) workflows as configured and determined by the customer.
To ensure proper and responsible use of our services, this Terms of Service (“ToS”) explains how our services and related applications may be used and for what purpose.
By accessing or using the services made available to your organisation, you agree to this ToS.
Introduction
Freeday provides an AI-powered digital employee made available within your organisation’s environment (e.g. Microsoft Teams). This digital employee enables employees to ask internal questions, request information, and support operational tasks.
Freeday may improve or update the technical functionality of the service, including security and compliance updates. The configuration, scope of use, and operational deployment of the digital employee remain the responsibility of the organisation.
License
Freeday grants you a non-exclusive, non-transferable, non-sublicensable right to access and use the services in accordance with this ToS and any applicable agreement between Freeday and your organisation.
Conditions of use
Freeday provides the functionality as described above. The services may only be used for the purposes determined by your organisation and strictly within the scope of authorised use.
You must use the services in compliance with applicable laws and regulations, including data protection, financial, and compliance-related legislation where relevant.
You are responsible for:
- The lawful use of the services within your organisation;
- The accuracy and legality of any data entered into or processed through the services;
- Verifying outputs generated before relying on them in operational or decision-making contexts.
Freeday does not assume responsibility for decisions made based on AI-generated outputs.
Customer data and content
All data, documents, prompts, and other content processed through the services are provided by you or your organisation.Your organisation is responsible for ensuring that:
- It has the legal right to use and process such data;
- The data does not infringe any third-party rights;
- The processing complies with applicable laws and internal policies.
Due note that Freeday acts solely as a processor and does not determine the purpose or means of processing.
Intellectual property
The services, including all software, algorithms, interfaces, and related materials, are protected by intellectual property rights. All intellectual property rights remain exclusively with Freeday or its licensors. Your rights are limited to those expressly granted in this ToS or in a written agreement your organisation has with Freeday. All other rights are reserved.
This ToS does not transfer any intellectual property rights.
If you provide suggestions, feedback, or improvement ideas and Freeday implements them, all related intellectual property rights remain with Freeday.
Prohibited actions
You may not:
- Use the services beyond the agreed scope of use;
- Copy, distribute, or commercially exploit the services without authorization;
- Reverse-engineer, decompile, disassemble, or attempt to extract source code, models, or underlying logic;
- Circumvent technical safeguards or security mechanisms;
- Use the services in violation of Dutch law or other applicable laws and regulations.
Availability and maintenance
Freeday aims to ensure high availability of the services but does not guarantee uninterrupted or error-free operation.
The applicable service levels, support arrangements and response times are governed by the Service Level Agreement (“SLA”) agreed between Freeday and your organisation. In the event of any conflict between this ToS and the SLA, the SLA shall prevail with respect to service levels and availability.
Freeday may temporarily suspend access for maintenance, security updates, or technical improvements. Where possible, such maintenance will be scheduled during periods of lower usage and in accordance with the applicable SLA.
Privacy
Freeday values privacy and handles personal data in accordance with applicable data protection laws. Where Freeday processes personal data on behalf of a customer, Freeday acts as a processor. Please refer to the Freeday Privacy Policy.
Warranties and disclaimer
The services are provided on an “as is” and “as available” basis. Freeday does not guarantee that:
- The services will be uninterrupted or error-free;
- Outputs will be complete, accurate, or suitable for a particular purpose;
- The services will meet specific regulatory or operational requirements of your organisation unless explicitly agreed in writing.
You remain responsible for reviewing and validating outputs before relying on them.
Liability
To the maximum extent permitted by law, Freeday shall not be liable for:
- Indirect or consequential damages;
- Loss of profit, revenue, business opportunities, or data;
- Business interruption;
- Damages resulting from decisions based on AI-generated outputs.
Freeday is not responsible for failures caused by third-party systems, internet disruptions, or infrastructure outside its reasonable control.
Governing law
This ToS is governed by Dutch law. Any disputes arising out of or in connection with this ToS shall be submitted to the competent court in the Netherlands.
